Terms of Service

These Terms of Service (“Terms”) are an agreement between you and KeyFocus LLC, operating as KeyFocus (“KeyFocus,” “we,” “us,” or “our”). They govern your access to and use of KeyFocus websites, mobile applications, image-processing features, support services, and related offerings (collectively, the “Service”).

1. ACCEPTANCE OF TERMS

By creating an account, purchasing or using credits, submitting content, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization. You must be legally able to enter this agreement and use the Service in compliance with applicable law. The Service is intended for professional and business-related real-estate imaging workflows and is not directed to children.

2. THE SERVICE

KeyFocus provides guided image capture, automated processing, optional AI-assisted edits, downloads, supported delivery tools, and related account, project, support, and referral features. Features, providers, supported devices, processing options, and availability may change. Some capabilities may be available only in supported product builds.

KeyFocus does not replace your professional judgment. You are responsible for reviewing all images and deciding whether they are accurate, appropriate, and permitted for the intended listing, marketing, delivery, or other use.

3. ACCOUNTS AND SECURITY

Provide accurate account information and keep your credentials and devices secure. You are responsible for activity under your account unless applicable law provides otherwise. Do not share passwords, security codes, or access tokens. Notify security@keyfocus.app promptly if you reasonably believe an account or the Service has been compromised.

KeyFocus may use a shared identity and control plane across supported KeyFocus products. Visiting the Squarespace website or submitting a support form does not create a separate KeyFocus application account.

4. CREDITS, PURCHASES, AND PROMOTIONS

Eligible processing and features may require KeyFocus credits. The applicable credit amount will be shown in the product when available. Credits are a limited contractual right to use eligible Service features; they are not money, a bank account, stored value, or property unless applicable law requires otherwise.

Purchases may be handled by an app store or another payment provider under that provider’s terms. KeyFocus does not receive or store complete payment-card numbers merely because a provider processes a purchase. Taxes, refunds, expiration, transferability, and promotional-credit conditions are governed by the purchase flow, provider rules, these Terms, and applicable law.

Promotional credits or benefits may have additional eligibility and use conditions. Fraud, chargebacks, refunds, or abuse may cause associated credits, qualifications, or benefits to be suspended, reversed, or removed.

5. REFERRAL PROGRAM

The Referral Program uses a user-owned Referral Code unless security or abuse requires action. A referral qualifies only after the referred authenticated user completes that user’s first legitimate paid credit purchase. Signup alone does not qualify.

Current tier thresholds are Standard at 0–9 active qualified referrals (0%), Gold at 10–24 (5%), and Platinum at 25 or more (10%), measured over a rolling 12-month window with a 30-day downgrade grace period. Benefits do not stack or create duplicate bounties. These percentages do not promise cash payouts or reward economics that KeyFocus has not separately made available. 6. YOUR SOURCE MATERIAL AND AUTHORITY

“Source Material” includes photographs, HDR or exposure-bracket members, representative images, videos if supported, metadata, project or listing information, instructions, and other content you submit or make available to the Service.

As between you and KeyFocus, you retain whatever ownership and intellectual-property rights you possess in Source Material. You represent and warrant that you have all rights, permissions, releases, and lawful authority reasonably necessary to capture, upload, submit, process, modify, store, archive, and deliver it through the Service.

Real-estate imagery may incidentally contain people, family photographs, artwork, documents, security systems, license plates, valuables, reflections, or other third-party material. You are responsible for obtaining authority appropriate to the photography, property access, marketing, and professional services you perform.

7. LICENSE TO KEYFOCUS

You grant KeyFocus a worldwide, non-exclusive, transferable, and sublicensable license to receive, host, copy, reproduce, transmit, store, process, enhance, modify, create derivative works and outputs from, analyze, archive, retrieve, deliver, secure, troubleshoot, and display Source Material and resulting images back to you and your authorized recipients as reasonably needed to:

• provide, maintain, secure, support, document, and improve the Service;

• perform requested automated and AI-assisted processing;

• work with approved infrastructure, storage, delivery, support, and image-processing providers;

• maintain processing history and long-term internal archives;

• prevent fraud, investigate security or service-integrity issues, resolve disputes, and document what was submitted and delivered; and

• comply with law and protect rights, safety, and the Service.

This license lasts as long as reasonably necessary for the disclosed purposes, including permitted extended retention after account closure. It does not transfer ownership of your underlying rights to KeyFocus.

8. PROCESSING PROVIDERS AND ADDITIONAL RIGHTS

KeyFocus may sublicense or disclose Source Material, Output Images, metadata, and instructions to approved third-party providers when needed to provide, operate, support, secure, or improve the Service. Providers may process content in multiple countries and may receive content or license rights under their applicable agreements.

KeyFocus uses approved third-party image-processing providers. Their applicable terms may require customers and users to have sufficient rights to submitted material and may grant a provider non-exclusive rights in Source Material and Output Images for service operation and other disclosed business purposes. Depending on the provider and governing terms, those purposes may include creating outputs, improving or training processing systems, supporting the service, and promotional use, and some rights may survive termination. Provider rights and retention practices can differ and may change; KeyFocus will maintain a private provider review and update this disclosure when material practices change.

By asking KeyFocus to use a provider, you authorize the licenses and disclosures reasonably necessary for that processing, subject to these Terms and applicable law. KeyFocus does not promise that no service provider receives rights in submitted or processed images and cannot grant you rights it does not own.

9. OUTPUT IMAGES AND AI-ASSISTED EDITS

“Output Images” are images produced or modified through the Service. As between you and KeyFocus, and subject to third-party rights and applicable law, you may use Output Images for your authorized business purposes. Your rights remain limited by rights in Source Material, provider terms, intellectual-property law, privacy and publicity rights, property or brokerage agreements, MLS rules, and other applicable obligations.

Automated processing can produce artifacts, omissions, inaccurate colors, alignment errors, misleading changes, or other unwanted results. AI-assisted edits may materially change a scene or property condition. You must review every output before publication or delivery and make any disclosure required by law, MLS, advertising, brokerage, or professional rules. KeyFocus does not provide legal advice about a particular image or listing.

10. INTERNAL ARCHIVE AND RETENTION

KeyFocus may maintain long-term internal copies of original HDR or bracket members, representative or source images, baseline processed images, AI-edited versions, processing metadata, provider or order references, checksums or audit information, and processing history.

The archive may be used for security, fraud prevention, service integrity, quality and support, processing documentation, dispute resolution, insurance or liability documentation, legal compliance, and evidence of what was submitted and delivered. This archive is separate from customer delivery storage. Information may remain for an extended period after delivery or account deletion, for as long as reasonably necessary for these purposes or as required or permitted by law. No specific retention period is promised until KeyFocus adopts a formal schedule.

11. DELIVERY AND CUSTOMER COPIES

Supported versions may provide device download or optional cloud delivery when configured. Delivery depends on devices, networks, storage providers, permissions, and third-party services. Verify that each image has been received and keep appropriate independent copies. KeyFocus is not a substitute for your backup or records-management program.

12. ACCEPTABLE USE

Do not use the Service to violate law or another person’s rights; process content you lack authority to use; exploit or harm minors; submit malware; probe or bypass security; interfere with service operation; scrape or reverse engineer except where law expressly permits; misrepresent an output as unaltered when disclosure is required; commit fraud; manipulate referrals, credits, or purchases; impersonate others; or send abusive or unlawful content.

13. SUSPENSION, TERMINATION, AND ACCOUNT DELETION

KeyFocus may limit, suspend, or terminate access when reasonably necessary to address a Terms violation, nonpayment, fraud, security risk, legal requirement, provider restriction, harm to others, or material threat to the Service. Where practical, KeyFocus will provide notice and a reasonable opportunity to address the issue, but immediate action may be necessary.

You may stop using the Service and may request account deletion through the supported in-app flow or privacy@keyfocus.app. Deletion of customer-facing access does not require immediate destruction of every retained record or image. Certain transaction, security, legal, processing, and archive records may remain for the purposes described in these Terms and the Privacy Policy. Sections that by their nature should survive—including licenses needed for permitted retention, payment obligations, disclaimers, liability terms, dispute provisions, and protection of rights—survive termination.

14. THIRD-PARTY SERVICES AND AVAILABILITY

The Service relies on third parties such as app stores, cloud infrastructure, identity and database providers, image processors, delivery providers, Google Workspace, and Squarespace. Their availability, policies, and terms may change. KeyFocus is not responsible for a third-party service outside its reasonable control. Processing times and availability are estimates, not guarantees, and provider or network failures may delay or prevent processing or delivery.

15. KEYFOCUS PROPERTY

Except for customer content and third-party materials, KeyFocus and its licensors own the Service, software, designs, workflows, documentation, trademarks, logos, and related intellectual property. These Terms do not grant you a right to use KeyFocus marks or copy, resell, or create a competing service from protected elements except as expressly permitted.

16. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” KEYFOCUS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. KEYFOCUS DOES NOT GUARANTEE THAT PROCESSING WILL SUCCEED, OUTPUTS WILL BE ACCURATE OR COMPLIANT FOR YOUR INTENDED USE, PROVIDERS WILL REMAIN AVAILABLE, OR DATA WILL NEVER BE LOST OR ACCESSED IMPROPERLY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYFOCUS AND ITS AFFILIATES, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITIES, OR DATA, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH HARM IS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYFOCUS’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID KEYFOCUS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

18. INDEMNITY

To the extent permitted by law, if you use the Service for business purposes, you will defend, indemnify, and hold harmless KeyFocus and its affiliates, personnel, and providers from third-party claims and related losses, costs, and reasonable legal fees arising from your Source Material, lack of required rights or permissions, unlawful or misleading use of Output Images, professional or listing activity, material violation of these Terms, or infringement of another person’s rights. KeyFocus will give reasonably prompt notice of a covered claim, permit you to control the defense where appropriate, and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault by or imposes an obligation on KeyFocus without KeyFocus’s written consent.

19. CHANGES TO THESE TERMS

KeyFocus may update these Terms as the Service, providers, risks, or law change. The updated version will identify its Last Updated date. When required, KeyFocus will provide additional notice or obtain consent. Continued use after an update takes effect constitutes acceptance only to the extent permitted by law.

20. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent another jurisdiction’s law must apply. Before filing a claim, you and KeyFocus agree to make a good-faith effort for 30 days to resolve the dispute informally by contacting legal@keyfocus.app. If the dispute is not resolved, claims may be brought in a state or federal court of competent jurisdiction in Florida. Nothing in this section prevents either party from seeking urgent injunctive relief, using an eligible small-claims process, or exercising rights that cannot lawfully be limited.
